1. Agreement to Terms

1.1 Binding Agreement

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and RitSea SRL ("Pactroom," "Company," "we," "us," or "our"), a Romanian limited liability company registered under Romanian law, governing your access to and use of the Pactroom platform, including but not limited to:

  • The website located at pactroom.com and all subdomains
  • Mobile applications (iOS and Android)
  • API services and developer tools
  • All related services, features, content, and applications (collectively, the "Service," "Platform")

1.2 Acknowledgment and Acceptance

BY CLICKING "I ACCEPT," CREATING AN ACCOUNT, ACCESSING, OR USING ANY PART OF THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • You have carefully read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Cookie Policy, Acceptable Use Policy, and all other policies and agreements referenced herein (collectively, the "Agreements");
  • You understand that these Terms contain important provisions including LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES, INDEMNIFICATION OBLIGATIONS, and DISPUTE RESOLUTION PROCEDURES, including MANDATORY ARBITRATION and CLASS ACTION WAIVER provisions (where legally permitted);
  • You waive any rights to a jury trial and agree to resolve disputes individually;
  • You are voluntarily entering into this Agreement and have had the opportunity to seek independent legal advice;
  • If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service and not create or maintain an account.

1.3 Compliance Framework

For EU Users: These Terms comply with:

  • Romanian Law 365/2002 on electronic commerce and information society services
  • Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services
  • Directive 2000/31/EC on electronic commerce
  • Romanian Civil Code (Law 287/2009)
  • Consumer Protection Law 296/2004
  • GDPR (Regulation EU 2016/679)

1.4 Platform Status

Pactroom operates as a technology platform and intermediary service provider. We explicitly disclaim any role as:

  • Employer, agent, or representative of any user
  • Party to contracts between users
  • Guarantor of user performance or deliverables
  • Insurer or warrantor of transactions
  • Legal, financial, or professional advisor

We facilitate connections and provide tools but do not control, verify, or guarantee the legality, quality, safety, or ability of users to perform their obligations.

2. Eligibility and Account Registration

2.1 Minimum Age and Legal Capacity

You must be at least 18 years of age OR the age of legal majority in your jurisdiction (whichever is greater) to use the Service. By using the Service, you represent, warrant, and covenant that:

  • You meet the minimum age requirement
  • You have full legal capacity to enter into binding contracts
  • You are not prohibited by law from accessing or using the Service
  • Your use does not violate any applicable law or regulation

2.2 Account Creation and Verification

To access the Service, you must create an account by providing accurate, complete, and current information, including but not limited to:

  • Full legal name (as it appears on government-issued identification)
  • Valid and monitored email address
  • Secure password meeting our security requirements
  • Payment information (processed and stored exclusively by Stripe)
  • Tax identification number (TIN, VAT, or equivalent as required by jurisdiction)
  • Business registration documents (for business accounts)
  • Identity verification documentation as requested
  • Bank account details for payout processing

You Agree That:

  • All information provided is truthful, accurate, and complete
  • You will immediately update information if it changes
  • Failure to maintain accurate information constitutes a material breach
  • We may rely on the accuracy of your information without independent verification
  • You are solely responsible for losses arising from inaccurate information

2.3 Account Security and Responsibility

You are exclusively and fully responsible for:

  • Creating and maintaining a secure password
  • Restricting access to your device and account
  • All activities occurring under your account, whether authorized or unauthorized
  • All transactions, payments, and agreements made through your account
  • Maintaining the security of your email account linked to the Service

You must immediately notify us at security@pactroom.com if you suspect unauthorized access to your account. You acknowledge that we are not liable for losses from unauthorized account access if you failed to maintain adequate security.

2.4 Business and Corporate Accounts

If you register as a business entity, you represent, warrant, and covenant that:

  • You have full authority to bind the entity to these Terms
  • The entity is duly organized, validly existing, and in good standing
  • You have provided valid and current business registration information
  • You will maintain all required business licenses and permits
  • The entity has the power and authority to perform its obligations

3. Description of Service

3.1 Core Features

Pactroom provides a technology platform that facilitates:

  • File Management System: Cloud storage infrastructure with AES-256 encryption, automated watermarking, version control, and collaborative file sharing
  • Payment Facilitation Infrastructure: Instant direct payment routing via Stripe Connect with deposit protection, automated multi-party distribution, and zero holding periods
  • Contract Automation Tools: Digital agreement templates, electronic signature capability (legally binding under EU Regulation 910/2014), and contract lifecycle management
  • Project Workflow Tools: Collaborative workspace, preview and feedback systems, milestone tracking, revision management, and communication tools
  • Multi-Party Distribution: Automated instant payment splitting, percentage and fixed-amount allocation, and simultaneous multi-party payouts
  • Portfolio Management: Creator profile systems, verified work history, and client review mechanisms
  • Dispute Management: Internal dispute resolution tools, evidence collection systems, and mediation facilitation

3.2 Platform Role and Limitations

Pactroom operates exclusively as an intermediary platform. We provide tools and infrastructure but explicitly DO NOT:

  • Control the quality, legality, safety, or accuracy of user listings, content, or services
  • Guarantee whether users will complete transactions or honor their obligations
  • Verify the truth or accuracy of user profiles, portfolios, or representations
  • Guarantee the skills, credentials, or qualifications of creators or agencies
  • Hold, store, or process payment funds at any time (payments are instant through Stripe)
  • Act as an escrow agent, payment holder, or fiduciary

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • You use the Service entirely at your own risk
  • You are solely responsible for evaluating other users before engaging
  • You must independently verify credentials, portfolios, and capabilities
  • You must conduct due diligence before entering transactions
  • All agreements are between users; Pactroom is not a party
  • We have no obligation to mediate, resolve, or become involved in disputes

3.3 Service Availability

While we strive to maintain high availability, WE DO NOT GUARANTEE uninterrupted, timely, secure, or error-free access to the Service. The Service may be unavailable due to:

  • Planned maintenance or system upgrades
  • Emergency maintenance or repairs
  • Hardware or software failures
  • Network or Internet disruptions
  • Third-party service provider outages
  • Cyber attacks or security incidents
  • Force majeure events
  • Government orders or legal requirements

4. User Roles and Responsibilities

4.1 Creator Responsibilities

As a Creator using our Services, you agree to:

  • Deliver content that meets the specifications agreed upon in each project
  • Deliver content within the timeframe specified
  • Maintain authentic engagement and follower metrics on connected platforms
  • Comply with all applicable advertising disclosure requirements (e.g., FTC guidelines)
  • Ensure all content is original or properly licensed
  • Not infringe on any third-party intellectual property rights
  • Respond to client communications in a timely manner
  • Provide accurate portfolio and work samples
  • Maintain required professional licenses or credentials

4.2 Client Responsibilities

As a Client using our Services, you agree to:

  • Provide clear and complete content specifications in each project
  • Review delivered content within 7 days of submission unless otherwise agreed
  • Provide constructive feedback if requesting revisions
  • Approve satisfactory deliverables promptly
  • Maintain valid payment methods on file
  • Not dispute charges for content that was delivered as specified
  • Not use delivered content beyond agreed scope
  • Comply with intellectual property licenses granted

4.3 Agency Responsibilities

As an Agency using our Services, you agree to:

  • Accurately represent creators under your management
  • Maintain transparent relationships with managed creators
  • Ensure creators fulfill their obligations
  • Properly distribute payments to creators if applicable
  • Maintain required business licenses and insurance
  • Supervise quality of work delivered by roster creators

5. Payment Terms

5.1 Transaction Fees

Pactroom charges volume-based transaction fees according to our published pricing structure. Our fee structure rewards high-volume users with progressively lower fees:

  • $0 - $10 (NANO): Flat fee of $0.49
  • $10 - $25 (MICRO): 4.9%
  • $25 - $50 (STANDARD): 4.9%
  • $50 - $100: 4.8%
  • $100 - $500: 4.7%
  • $500 - $1,000: 4.3%
  • $1,000 - $2,500 (PRO): 3.9%
  • $2,500 - $5,000: 3.4%
  • $5,000 - $10,000: 3.1%
  • $10,000 - $25,000: 2.9%
  • $25,000 - $50,000 (ENTERPRISE): 2.7%
  • $50,000 - $100,000: 2.3%
  • $100,000 - $250,000: 1.9%
  • $250,000 - $500,000 (WHALE): 1.3%
  • $500,000+: 0.9%

5.2 Optional Subscription Plans

In addition to transaction fees, users may optionally purchase subscription plans for enhanced features and increased monthly allowances:

Storage top-ups are billed monthly and will automatically renew until cancelled. AI credits are purchased once and never expire. All expansion packs can be cancelled at any time.

5.4 Payment Processing

All payments are processed through Stripe Connect. By using the Service, you agree to Stripe's terms of service and privacy policy.

Critical Understanding:

  • Pactroom does NOT hold, store, or process payment card data
  • All payments are INSTANT and DIRECT between parties via Stripe
  • NO funds are held by Pactroom or Stripe at any time
  • Payments flow immediately from client to creator upon transaction completion
  • Pactroom receives only the platform fee, deducted by Stripe during transaction processing

5.5 Deposit System

Our deposit protection system works as follows:

  • Initial deposit (20-50% of total) is charged to client immediately
  • Deposit is paid INSTANTLY and DIRECTLY to creator upon charge
  • Deposit is non-refundable once project work begins
  • Deposit unlocks workspace and cloud storage for creator
  • Balance payment flows INSTANTLY and DIRECTLY to creator upon client approval
  • All payments are final and immediate—no holding periods

5.6 Payment Splits

For multi-party projects:

  • You designate percentage or fixed-amount splits during project setup
  • Payments are automatically distributed INSTANTLY upon transaction completion
  • Each party receives their portion directly and immediately via Stripe
  • Split modifications require all parties' consent

5.7 Refund Policy

Refunds are governed by our separate Refund and Cancellation Policy. Generally:

  • Deposits are non-refundable once work begins
  • Refunds for undelivered work processed per dispute resolution
  • Disputed work follows our dispute resolution process
  • Platform processes refund requests but does not hold funds for returns
  • Refunds processed through Stripe's payment reversal system

5.8 Currency and Taxes

  • All transactions are processed in the currency specified at checkout
  • Users are responsible for all applicable taxes, duties, and fees
  • We provide tax documentation (including 1099 forms for US users) as required by law
  • International transactions may incur currency conversion fees charged by Stripe

6. Intellectual Property Rights

6.1 User Content Ownership

You retain ownership of all intellectual property rights in content you create, upload, or submit ("User Content"). By uploading User Content, you grant Pactroom a worldwide, non-exclusive, royalty-free license to:

  • Store, display, and transmit your User Content as necessary to provide the Service
  • Create derivative works for platform functionality (thumbnails, previews, watermarks)
  • Publicly display your portfolio items as part of your profile

6.2 Watermarking System

Our automated watermarking system:

  • Applies server-side overlay watermarks to preview files
  • Cannot be disabled by users
  • Removes watermarks only upon final payment completion
  • Does not guarantee complete protection from theft

6.3 IP Transfer Between Users

Unless otherwise specified in project agreements, creators retain copyright in delivered work. Clients receive a license to use the work as specified in the project scope. Full IP transfer requires explicit agreement between parties.

6.4 Platform Intellectual Property

All rights, title, and interest in the Service, including but not limited to the Pactroom name, logo, and platform technology, remain our exclusive property. You may not:

  • Use our trademarks without written permission
  • Reverse engineer or copy platform features
  • Remove or alter copyright notices
  • Create derivative works from our platform

7. Prohibited Conduct

You expressly agree NOT to engage in any of the following prohibited activities:

7.1 Illegal Activities

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in money laundering, fraud, or other financial crimes
  • Facilitate terrorist financing or sanctions violations
  • Infringe intellectual property rights
  • Distribute malware, viruses, or harmful code

7.2 Platform Abuse

  • Circumvent security measures or access controls
  • Create fake accounts or impersonate others
  • Manipulate ratings, reviews, or feedback systems
  • Use automated tools to access the platform (except authorized APIs)
  • Scrape, harvest, or collect user data
  • Create multiple accounts to evade restrictions

7.3 Content Violations

  • Upload illegal, defamatory, or harmful content
  • Distribute sexually explicit content involving minors (zero tolerance)
  • Promote violence, hate speech, or discrimination
  • Share malicious or deceptive content
  • Infringe copyright, trademark, or other IP rights
  • Violate privacy rights or publicity rights

7.4 Payment Violations

  • Process fraudulent transactions
  • Circumvent the platform to avoid fees
  • Use stolen or unauthorized payment methods
  • Withhold earned payments from collaborators
  • File fraudulent chargebacks
  • Structure transactions to evade reporting requirements

7.5 Professional Misconduct

  • Deliberately deliver substandard or non-conforming work
  • Misrepresent skills, qualifications, or credentials
  • Breach confidentiality or non-disclosure obligations
  • Engage in conflicts of interest without disclosure
  • Violate professional codes of conduct

8. Content Moderation and Enforcement

8.1 Monitoring Rights

We reserve the right, but have no obligation, to monitor User Content and user conduct. We may use automated systems and human review to detect violations.

8.2 Content Removal

We may remove or restrict access to User Content that:

  • Violates these Terms or applicable law
  • Infringes intellectual property rights
  • Is harmful, offensive, or inappropriate
  • Poses security or legal risks

8.3 Enforcement Actions

Upon violation of these Terms, we may:

  • Issue warnings or require corrective action
  • Suspend or restrict account features
  • Terminate accounts immediately
  • Remove violating content
  • Report violations to law enforcement
  • Pursue legal action for damages
  • Ban users permanently from the platform

9. Third-Party Services and Links

9.1 Stripe Payment Processing

Payment processing is provided by Stripe, Inc. You must agree to Stripe's terms and policies. We have no control over Stripe's services or decisions. Disputes with Stripe must be resolved per Stripe's terms.

9.2 Cloud Infrastructure

We use Google Cloud Platform and Cloudflare for infrastructure. Service quality depends on these third-party providers. We are not liable for third-party outages or failures.

9.3 External Links

Our Service may contain links to third-party websites. We do not endorse or control these sites and are not responsible for their content or practices.

10. Data Protection and Privacy

10.1 Privacy Policy

Our Privacy Policy (available at pactroom.com/privacy) explains how we collect, use, and protect your personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.

10.2 GDPR Compliance

For EU/EEA users, we comply with the General Data Protection Regulation (GDPR). You have rights to:

  • Access your personal data
  • Rectify inaccurate data
  • Request deletion ("right to be forgotten")
  • Restrict processing
  • Data portability
  • Object to processing
  • Withdraw consent

10.3 Data Security

We implement appropriate technical and organizational measures to protect personal data, including AES-256 encryption, TLS 1.3 for data in transit, and access controls. However, no system is completely secure.

11. Disclaimers and Limitation of Liability

11.1 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE OR NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF RESULTS
  • UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION
  • FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

11.2 User Interactions

WE ARE NOT RESPONSIBLE FOR:

  • Quality, timeliness, legality, or delivery of services exchanged through the platform
  • Conduct, statements, or actions of any user
  • Disputes between users regarding transactions
  • User creditworthiness or ability to pay
  • Copyright infringement or IP violations by users
  • Financial losses from transactions

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PACTROOM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
  • LOSS OF GOODWILL OR REPUTATION
  • LOSS OF DATA OR INFORMATION
  • BUSINESS INTERRUPTION OR DOWNTIME
  • COST OF SUBSTITUTE GOODS OR SERVICES
  • WASTED EXPENDITURE OR OPPORTUNITY COSTS

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (a) The total fees you paid to Pactroom in the 12 months immediately preceding the event giving rise to liability; OR (b) €100 (one hundred euros).

11.4 EU Consumer Rights

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded or limited under applicable EU or Romanian law.

11.5 Force Majeure

We shall not be liable for any delay or failure in performance resulting from Force Majeure Events, including but not limited to:

  • Acts of God, natural disasters, pandemics
  • War, terrorism, civil unrest
  • Government actions, embargoes, sanctions
  • Power outages or infrastructure failures
  • Cyber attacks or DDoS attacks
  • Third-party service provider failures

12. Indemnification

12.1 Your Indemnification Obligations

You agree to indemnify, defend (at our option), and hold completely harmless Pactroom, RitSea SRL, and our affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms or any referenced policies
  • Your violation of any applicable law or third-party right
  • Your User Content or activities on the platform
  • Disputes with other users
  • Infringement of intellectual property rights
  • Your breach of contracts with other users
  • Your failure to pay taxes or comply with tax obligations
  • Chargebacks and payment disputes
  • Regulatory violations related to your activities

12.2 Defense and Settlement

You may not settle any claim without our prior written consent. We may assume exclusive defense at your expense. You must cooperate fully with our defense efforts and provide access to witnesses, documents, and information.

12.3 Scope and Survival

Indemnification obligations survive termination of your account indefinitely and are not limited by any monetary cap (unlike our limitation of liability).

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Romania, without regard to conflict of law principles. Specifically applicable are:

  • Romanian Civil Code (Law 287/2009)
  • Romanian Law 365/2002 on electronic commerce
  • Romanian Law 296/2004 on consumer protection

13.2 Mandatory Informal Resolution

Before initiating any formal legal proceedings, parties must:

  1. Provide detailed written notice describing the dispute
  2. Engage in good faith negotiations for at least 30 days
  3. Attempt to reach mutual resolution

13.3 Platform Dispute Resolution (User-to-User)

For disputes between users regarding platform transactions:

  • Follow our internal Dispute Resolution Policy
  • Submit claims through the platform dispute system
  • Provide all evidence in platform-specified formats
  • Accept platform determinations as binding (subject to appeal rights)

13.4 EU Online Dispute Resolution

EU consumers may access the European Commission's Online Dispute Resolution (ODR) platform at: https://ec.europa.eu/consumers/odr

13.5 Binding Arbitration (Non-EU Users)

If you are NOT located in the EU/EEA, any dispute shall be resolved by BINDING ARBITRATION rather than in court, administered by the Court of International Commercial Arbitration at the Romanian Chamber of Commerce and Industry (CCIR).

Arbitration Terms:

  • One arbitrator mutually agreed or appointed by CCIR
  • Location: Constanța, Romania, or via videoconference
  • Language: English or Romanian
  • Costs: You pay initial filing fee; we pay arbitrator fees
  • Confidential proceedings

13.6 Class Action and Collective Relief Waiver

YOU AND PACTROOM AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION.

Opt-Out Right:

You may opt out of this Class Action Waiver by sending written notice to legal@pactroom.com within 30 days of first accepting these Terms.

13.7 Limitation Period

Any claim arising from these Terms or the Service must be brought within ONE (1) YEAR from the date the claim accrued. Claims not brought within this period are FOREVER BARRED.

13.8 Jurisdiction

For EU/EEA Users:

  • Exclusive jurisdiction of courts of Constanța, Romania
  • EU consumers may bring proceedings in courts of their habitual residence for consumer matters

For Non-EU Users:

  • Mandatory arbitration (see Section 13.5)
  • Exclusive jurisdiction of Romanian courts for non-arbitrable matters

14. Termination

14.1 Termination by User

You may terminate your account at any time through account settings. Before termination, you must:

  • Complete or properly cancel all active projects
  • Resolve all outstanding payment disputes
  • Withdraw or forfeit account balance
  • Download your data (available for 30 days post-deletion)

14.2 Termination by Pactroom

We may immediately suspend or terminate your account WITHOUT prior notice if:

  • You violate these Terms or applicable laws
  • You engage in fraud, theft, or financial crimes
  • Your account poses security risk to platform or users
  • Payment processor terminates your merchant account
  • We receive court order or law enforcement directive
  • Your account is inactive for more than 24 months

14.3 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases
  • User Content may be deleted after 90-day grace period
  • Active transactions must be completed or settled
  • Account balance available for withdrawal within 90 days
  • Outstanding fees immediately become due

14.4 Survival

The following provisions survive termination indefinitely:

  • Intellectual Property Rights (licenses granted by you)
  • Disclaimers and Limitation of Liability
  • Indemnification
  • Dispute Resolution
  • Payment obligations for pre-termination services

15. Modifications to Terms

15.1 Right to Modify

EU Business Users:

15.3 Acceptance of Changes

By continuing to access or use the Service after changes take effect, you automatically accept the modified Terms. If you do not agree, you must stop using the Service before the effective date.

15.4 Governing Version

For specific transactions, the Terms in effect when the transaction was initiated govern that transaction. For ongoing use and account matters, current Terms apply.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Pactroom regarding the Service.

16.2 Severability

If any provision is found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force.

16.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it later.

16.4 Assignment

We may assign these Terms or our rights/obligations without your consent. You may not assign these Terms without our prior written consent.

16.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except for Pactroom Parties entitled to indemnification and liability protections.

16.6 Notices

Legal notices to you will be sent to your registered email address. Notices to us must be sent to legal@pactroom.com. Notices are deemed received 24 hours after sending (email) or upon delivery (mail).

16.7 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, government actions, pandemics, strikes, or infrastructure failures.

16.8 Interpretation

Section headings are for convenience only and do not affect interpretation. "Including" means "including without limitation." "You" includes individuals and entities. Singular includes plural and vice versa.
